Practice areas

Six disciplines.
One coordinated practice.

Each of our services is designed to function independently — and to combine seamlessly with the others. We deliver the full lifecycle of UAE engagement under one accountable mandate.

UAE Market Entry & Setup

Establishing a UAE presence is not simply paperwork. It is a strategic decision that affects taxation, capital movement, beneficial ownership disclosure, and operational reach for years to come. PrimeNest Brokers FZ-LLC handles the full setup with a single point of accountability.

We begin with a structural review: should you operate from a free zone or the mainland? Should you incorporate a holding entity in RAK ICC and an operating subsidiary elsewhere? What banking jurisdiction will support your capital flows? Each answer compounds the next, and getting the sequence right matters more than getting it fast.

What we deliver.

  • Free zone establishment: Selection, application, and licensing across RAKEZ, DMCC, IFZA, ADGM, DIFC, JAFZA and others — matched to your sector and capital structure.
  • Mainland incorporation: LLC formation, professional licences, and commercial agency arrangements across all seven Emirates.
  • Holding structures: RAK International Corporate Centre offshore vehicles for international holding, IP, and asset protection purposes.
  • Banking introductions: Coordinated openings with tier-one UAE and international banks operating in the Emirates.
  • Residency planning: Investor visas, Golden Visas, and family residency under current UAE frameworks.

The mistake most new entrants make is choosing a free zone before they understand their counterparty profile. We reverse that order — and the structure becomes obvious.

Timeline & approach.

A typical UAE setup mandate runs eight to twelve weeks from intake to fully licensed entity with operational banking. We compress timelines where possible without compromising regulatory diligence — the goal is a structure that survives audit, not one that closes fast.

Commercial Brokerage

Brokerage is the heart of our practice. We connect the right counterparties — and we structure the deals between them. Whether you are acquiring real estate, placing an asset, sourcing supply, or appointing a distributor, we operate as the principal broker on your behalf.

Our brokerage discipline rests on relationships built over years across the Emirates. We do not source counterparties from public databases. We work with vetted, repeat counterparties whose commercial behaviour we know — and whose word we trust.

Brokerage practice areas.

  • Real estate brokerage: Commercial offices, retail premises, hospitality assets, residential portfolios, and development land across Dubai, Abu Dhabi, RAK and the Northern Emirates.
  • Asset placement & acquisition: Identifying buyers and sellers for operating businesses, equipment, fleets, and capital assets in the UAE market.
  • Commodity & trade brokerage: Coordinating cross-border commodity flows, supply contracts, and distribution mandates.
  • Partnership & distribution agreements: Brokering exclusive distribution rights, regional agency appointments, and joint venture structures.
  • Negotiation & deal structuring: Term sheet drafting, price negotiation, conditionality, escrow arrangements, and closing logistics.

How we are paid.

Our brokerage compensation is transparent and almost always success-aligned. Where retainers are required for sustained mandates, they are credited against eventual closing fees. We never accept undisclosed commissions from counterparties — our loyalty is to the client who engaged us.

Strategic Connections

The UAE is a market where the right introduction can change the trajectory of an entire venture. PrimeNest Brokers FZ-LLC maintains an active network across Emirati corporate families, government departments, sector regulators, family offices, and senior operators in finance, real estate, logistics, and technology.

Our connections are not a directory. We make introductions only when the alignment is real — when both parties stand to gain, and when the meeting is justified by genuine commercial fit. This discipline is why our network remains willing to take our calls.

Categories of connection.

  • Emirati commercial partners: Local sponsors, joint venture partners, mainland service agents, and family-business operators across diverse sectors.
  • Government & regulatory liaison: Direct working relationships with free zone authorities, the Federal Tax Authority, the Securities and Commodities Authority, and emirate-level economic departments.
  • Family offices & private capital: Single-family offices and multi-family offices based in the UAE, with allocation across regional and global mandates.
  • Sector specialists: Operators with deep domain expertise in real estate development, logistics infrastructure, fintech, and energy transition.
  • Professional services network: Coordinated introductions to law firms, audit firms, and tax advisors with proven track records on cross-border UAE matters.

In the UAE, who you know matters. But how you were introduced matters more. We make sure both work in your favour.

Regulatory & Compliance Advisory

The UAE has matured rapidly into a sophisticated regulatory environment. Corporate tax is now in force. Beneficial ownership disclosure is mandatory. Economic substance regulations apply across sectors. The companies that thrive here are those that treat compliance as infrastructure — not as friction.

PrimeNest Brokers FZ-LLC provides ongoing regulatory advisory to ensure that every entity we help establish remains in good standing, and that every commercial action our clients take is compatible with the evolving UAE framework.

Areas of compliance support.

  • UAE Corporate Tax: Registration with the Federal Tax Authority, taxable income computation, free zone qualifying status, and annual return support.
  • Beneficial ownership (UBO): Identification, declaration, and ongoing maintenance of UBO registers across all UAE jurisdictions.
  • Anti-money laundering: KYC frameworks, suspicious transaction reporting, and ongoing AML training where regulated activities are conducted.
  • Economic Substance Regulations: Substance assessments, annual notifications, and ESR returns where the activity falls within scope.
  • Corporate governance: Board composition, meeting protocols, resolution drafting, and statutory record-keeping aligned to UAE company law.

Approach.

Compliance is not a once-a-year exercise. We embed compliance into the operational rhythm — quarterly reviews, deadline calendars, and proactive briefings whenever the regulatory landscape shifts. Our clients are never surprised by a UAE compliance change. They are briefed in advance.

Local Representation

For international owners who cannot — or do not wish to — be physically present in the UAE on a continuous basis, PrimeNest Brokers FZ-LLC acts as the trusted local steward. We are the eyes, ears, and voice of the owner on the ground in the Emirates.

This is the service that most distinguishes us from a transactional broker. Once a structure is in place, the work of running it begins. We attend the board meeting. We respond to the bank. We resolve the supplier dispute. We brief you quarterly on what changed, what is coming, and what needs your decision.

Scope of representation.

  • Director or board representation: Where appropriate and permitted, we accept directorships or board observer roles, governed by clear conflict-of-interest protocols.
  • Banking & treasury liaison: Day-to-day relationship management with UAE banks, including account maintenance, KYC refreshes, and transaction queries.
  • Stakeholder coordination: Liaison with suppliers, distributors, landlords, and government counterparties on routine and exceptional matters.
  • Owner briefings: Structured quarterly reports covering operational status, regulatory developments, and strategic recommendations.
  • Crisis & dispute escalation: First-response handling of operational disputes, with escalation to legal counsel as needed.

Owning a UAE entity from abroad is not the same as running one from inside. Local representation is the difference between an asset and a liability.

Capital & Investment Liaison

The UAE has emerged as one of the world's most active markets for private capital deployment. Family offices, sovereign-adjacent vehicles, and high-net-worth individuals based in the Emirates allocate billions annually into international and regional opportunities.

PrimeNest Brokers FZ-LLC operates at the intersection of operating businesses and capital allocators — bridging the two through carefully matched introductions, structured co-investment vehicles, and ongoing investor liaison once capital is deployed.

Capital practice areas.

  • Capital sourcing for operators: Connecting international companies with UAE-based family offices and HNW investors aligned to their sector and stage.
  • Co-investment structuring: Designing direct deal structures that pair foreign operators with UAE capital partners on specific transactions.
  • Selective fund placement: On a limited and selective basis, introducing closed-ended fund managers to UAE LP relationships.
  • Cross-border capital flow: Coordinating the legal, tax, and banking architecture for capital movement between origin markets and the UAE.
  • Investor reporting & relations: Ongoing quarterly liaison with capital partners, briefing them on portfolio company performance and material events.

What we do not do.

We are not a fund manager. We do not hold client capital. We do not engage in regulated investment advisory activities outside the scope of our brokerage licensing. Where regulated services are required, we coordinate with licensed counsel and authorised intermediaries — and remain transparent about the boundary.
